1. Introduction

These Terms of Service (“Terms”) govern your use of the HouseKeeper platform, including our website at housekeeper.host, our web portal, and our mobile applications (collectively, the “Platform”). HouseKeeper is a trading name of FunSpex Limited, a company registered in England and Wales with company number 0622261 and registered office at 2b Devonshire Road, Bexleyheath, England, DA6 8DS (“we”, “our”, “us”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

2. Description of Service

HouseKeeper provides a platform that connects holiday let property owners/managers with cleaning service providers. The Platform facilitates scheduling, task management, checklist creation, invoice generation, and payment processing related to property cleaning services.

3. User Accounts

3.1 You must register for an account to use certain features of the Platform. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 We reserve the right to disable any user account at any time if, in our reasonable opinion, you have failed to comply with these Terms.

4. User Responsibilities

4.1 Property Owners/Managers are responsible for:

• Providing accurate property information
• Setting clear task requirements
• Promptly reviewing submitted work
• Making timely payments for approved services

4.2 Cleaning Service Providers are responsible for:

• Delivering services as described
• Meeting agreed quality standards
• Providing accurate documentation of work completed
• Complying with all applicable laws and regulations

4.3 All users must:

• Comply with these Terms and all applicable laws
• Maintain the confidentiality of property access information
• Use the Platform in a manner that does not infringe third-party rights
• Not use the Platform for any unlawful purpose or in any way that might damage, disable, or impair the Platform

5. Fees and Payments

5.1 We charge fees for certain features or services provided through the Platform. All fees are displayed before you complete a transaction.

5.2 Property owners/managers are responsible for paying for approved cleaning services through the Platform.

5.3 All payments are processed securely through our third-party payment processors. By using the Platform, you consent to the transfer of necessary personal and financial information to these processors.

5.4 We retain the right to change our fee structure upon reasonable notice.

6. Relationship Between Parties

6.1 HouseKeeper acts solely as an intermediary platform connecting property owners/managers with cleaning service providers. We do not provide cleaning services or employ cleaners.

6.2 No agency, partnership, joint venture, or employment relationship is created between us and any user of the Platform.

6.3 Users enter into direct contractual relationships with each other when engaging services through the Platform.

7. Content and Intellectual Property

7.1 You retain ownership of any content you submit to the Platform, including photographs, descriptions, and reviews.

7.2 By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purposes of operating and improving the Platform.

7.3 The Platform, including all designs, text, graphics, logos, and software, is owned by or licensed to FunSpex Limited and is protected by intellectual property laws.

8. Limitation of Liability

8.1 Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

8.2 To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform.

8.3 Our total liability to you for any claims arising under these Terms shall not exceed the amount paid by you to us during the 12 months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless FunSpex Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

10. Modifications to the Terms

10.1 We may modify these Terms at any time by posting the revised terms on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

10.2 We will notify registered users of material changes to these Terms via email or through the Platform.

11. Termination

11.1 We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any breach of these Terms.

11.2 You may terminate your account at any time by following the instructions on the Platform.

11.3 Upon termination, provisions of these Terms that by their nature should survive termination shall remain in effect.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Dispute Resolution

Before filing a claim against FunSpex Limited, you agree to attempt to resolve the dispute informally by contacting us. If a dispute cannot be resolved informally, you and FunSpex Limited agree to try to resolve the dispute through mediation before resorting to arbitration, litigation, or other formal proceeding.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provision shall be deleted without affecting the remaining provisions.

15. Entire Agreement

These Terms, along with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and FunSpex Limited regarding the Platform and supersede all prior agreements and understandings.
